Often we will produce a prospectus or OIS but in other cases we may introduce the project direct to a VC Fund or sophisticated investors as defined in the Corporations Law.

708 (8) An offer of a body's securities does not need disclosure to investors under this Part if:

(a) the minimum amount payable for the securities on acceptance of the offer by the person to whom the offer is made is at least $500,000; or

(b) the amount payable for the securities on acceptance by the person to whom the offer is made and the amounts previously paid by the person for the body's securities of the same class that are held by the person add up to at least $500,000; or

(c) it appears from a certificate given by a qualified accountant no more than 6 months before the offer is made that the person to whom the offer is made:

(i) has net assets of at least $2.5 million; or

(ii)has a gross income for each of the last 2 financial years of at least $250,000 a year.

1. Registration Process

In order to register with us you need to complete the appropriate form hereunder and return it to us via e-mail or to First Corporate Pty Ltd, PO Box 7218 Cloisters Square, Perth WA 6850.

A person registering as a Sophisticated Investor must have the certificate signed by a qualified accountant. "Qualified accountant" means a member of a professional body that is approved by ASIC in writing. ASIC has indicated that it will approve any member of the Australian Society of Certified Practising Accountants, The Institute of Charted Accountants or the National Institute of Accountants.

Corporations Law requires you to provide us a new certificate every 6 months. We will be in contact at the appropriate time to check your contact details are still current and forward you the re-registration pack.
